Terms & Conditions

Mississippi Pro Design Center LLC · Effective June 2026

These Terms and Conditions govern all services provided by Mississippi Pro Design Center LLC (“Mississippi Pro,” “we,” “us,” or “our”), including flooring installation, roofing, construction, remodeling, countertop fabrication, and related services. By signing a contract, making a deposit, or authorizing work, you (“Client” or “you”) agree to these terms in full. A complete signed copy is provided with every project contract.

Acceptance of Terms

These Terms and Conditions of Sale ("Terms") govern all transactions between Mississippi Pro Design Center LLC ("Mississippi Pro," "we," or "us") and the purchasing customer ("Client" or "you"). They apply to the purchase of flooring products, countertops, cabinetry, windows, doors, and all associated professional installation services provided across our three divisions: Mississippi Pro Design Center (flooring and remodeling), Mississippi Pro Roofing, and Mississippi Pro Construction — whether the transaction originates in our Pearl showroom, at your property, by telephone, or through our website.

Acceptance occurs at the earliest of: (a) your signature on a proposal or sales order; (b) your payment of a deposit; (c) your verbal or written approval to order materials; or (d) your permission for our team to begin work on your property. These Terms supersede all prior verbal representations and may only be modified in a written document signed by an authorized Mississippi Pro manager and by you.

Quotes, Pricing & Product Availability
Quote Validity

All written quotes are valid for 30 days from the issue date. After 30 days, pricing is subject to change based on current material costs, labor rates, and market conditions. We reserve the right to reissue an updated quote if the original has expired before acceptance.

Pricing

All prices cover the products and services specifically described in your Sales Order. Items not listed are excluded and will require a separate written quote and approval before we proceed. Prices do not include applicable Mississippi state and local sales tax. In the event of a pricing error, you will be notified immediately and given the option to proceed at the corrected price or receive a full deposit refund.

Product Availability

All sales are subject to product availability. While we maintain accurate inventory and lead time estimates, Mississippi Pro is not responsible for manufacturer backorders, supply chain delays, or product discontinuation. If a selected item becomes unavailable, we will contact you promptly to discuss comparable alternatives.

Coupons & Discounts

Promotional coupons must be presented at the start of the sales process and may not be applied after a Sales Order is signed. Only one promotional offer per order; coupons do not combine with other discounts, sale pricing, or clearance items. Commercial and contractor-volume purchases are excluded from retail promotional offers. Prior orders are exempt from subsequent promotions.

Price Protection Guarantee

We stand firmly behind our pricing. If within 30 days of your purchase you find an identical product — same brand, style, color, and quality grade — available at a lower price from a qualifying local retail store, we will refund the entire price difference. Simply present your Mississippi Pro consultant with the competitor's current written estimate or advertisement, and the adjustment will be made.

Price Protection covers product materials only; it does not apply to installation labor, delivery, or service fees. This guarantee is limited to local brick-and-mortar retailers defined as a permanent physical location with outdoor signage, a street address, customer parking, and a publicly listed local phone number. Online retailers, wholesale clubs, warehouse liquidators, and out-of-state sellers are excluded.

Payment Terms & Deposits
Deposit

A deposit — typically 50% of the total estimated project cost, unless otherwise agreed in writing — is required to begin any project. Deposits confirm your order, reserve your installation date, and authorize material procurement. Deposits are applied toward your final project balance.

Balance Due

The remaining balance is due in full upon project completion or product delivery, whichever occurs first. For phased projects, payment is due upon completion of each phase. If you cannot be present at completion, payment arrangements must be made in advance.

Late Payment

Balances unpaid within 15 days of the completion date will accrue a finance charge of 1.5% per month (18% APR) on the outstanding amount. If your account remains unpaid beyond 30 days, Mississippi Pro reserves the right to pursue all available legal remedies including mechanic's lien filing, collections referral, and legal action. All costs of collection — including attorney's fees, filing fees, and court costs — are added to the balance owed.

Sales Under $800

All sales totaling $800.00 or less are final at the time of purchase. No refunds will be issued on transactions at or below this threshold.

Refund & Cancellation Policy
Residential Right of Cancellation

For contracts entered into at your home or residence, you have the right to cancel without penalty before midnight on the third business day (72 hours) following the signing date. Contact us at (601) 790-1030 to request a Notice of Cancellation form. Cancellation must be received in writing within this window.

Cancellation After 72 Hours

After the 72-hour window, any refund will be issued minus all costs already incurred: (a) special-order material costs; (b) labor and preparation expenses; (c) delivery and handling; and (d) a reasonable restocking fee. No refund is issued on any contract that expressly restricts return of deposited funds.

No Refunds on Ordered, Installed, or Custom Materials

Once materials have been ordered on your behalf, no refund is available on those materials regardless of whether installation has begun. All products ordered specifically for your project — including carpet, hardwood, LVP, laminate, tile, stone, countertops, cabinetry, windows, and doors — are non-returnable. There are no refunds on cut, installed, or delivered flooring or materials.

Appointment Cancellation

Installation appointments must be cancelled no later than 12:00 PM on the business day prior to the scheduled date. Late cancellations may result in a rescheduling or trip fee to cover crew and equipment costs already committed to your job.

Material Amounts, Overages & Color Variation
Material Overages

All flooring installations require approximately 10% additional material beyond the measured square footage to account for cuts, seams, and pattern matching. This overage is industry-standard practice and is included in your pricing. Installation charges are based on total material needed, not installed square footage. Leftover material after installation belongs to you — keep it for future repairs.

Width Tolerances

A variance of up to 2% in material widths is within established mill tolerances and is accepted throughout the flooring industry as standard. This does not constitute a product defect.

Color & Natural Variation

Flooring materials are produced in production batches ("dye lots"). Slight color variation between lots can occur. We strongly recommend viewing a physical product sample in your home, under your actual lighting, before finalizing your selection. Website and showroom images are representative only and may not perfectly capture every product's color, texture, or sheen.

Natural materials — including hardwood, engineered wood, bamboo, cork, stone, ceramic tile, porcelain, marble, granite, quartzite, wool, and natural linoleum — exhibit inherent variations in color, grain, veining, mineral inclusions, and texture. These characteristics are properties of the material, not defects. No refund or replacement will be provided for natural variation within industry-accepted ranges.

Warranties
Lifetime Installation Warranty

Mississippi Pro Design Center warrants that all flooring installation performed by our crews meets or exceeds industry standards as established by NWFA, FCICA, and product manufacturer guidelines. If any installation defect attributable to our workmanship is discovered during the active period of the product's manufacturer wear warranty, present your original sales receipt and we will return to correct the issue at no charge.

This warranty is valid for the original owner of the property where the flooring was installed, applies only to owner-occupied residential installations performed entirely by our crew, and does not apply to commercial installations or work performed by the client or third parties. The warranty is void if the issue results from: improper maintenance or cleaning, use of unauthorized cleaning products, abuse, vandalism, moisture intrusion, foundation movement, or post-installation alterations.

30-Day Satisfaction Replacement Warranty

All floor coverings installed by Mississippi Pro carry a 30-day satisfaction replacement warranty. If within the first 30 days after installation you are dissatisfied with your flooring selection for any reason not addressed by another warranty, present your sales receipt and we will replace the flooring with another product of equal value at no additional material cost. You pay only the difference if you choose a higher-priced product. No monetary credit is issued for downgrade selections.

This is a one-time replacement and does not include replacement of underlayment, cushion, or reinstallation labor, which are the Client's responsibility. The replacement product must differ in style or color from the original. Replacement quantities must match the original order. This warranty is void for flooring that has been glued down, damaged by fire, flood, or water, vandalized, or altered. It is non-transferable.

Manufacturer Product Warranty

All products carry the warranty provided by the manufacturer. Mississippi Pro offers no material warranty independent of the manufacturer's warranty. Manufacturer warranties vary by product and brand. We will assist you in submitting claims to the manufacturer; however, final claim approval rests solely with the manufacturer. Products may be denied manufacturer warranty coverage due to incorrect installation, inadequate subfloor preparation, failure to maintain recommended temperature and humidity, or improper cleaning.

Installation Information & Subfloor Preparation
Proposal & Scope

Prior to beginning your installation, Mississippi Pro will provide a written proposal describing all costs and services. Additional work not described in the approved proposal will incur additional charges. Any scope change must be approved — verbally or in writing — before we proceed. A final labor quote requires your approval before order processing begins.

Subfloor Preparation

All flooring installations require the subfloor to be clean, level, structurally sound, and within acceptable moisture content ranges. Because subfloor condition can only be fully assessed after the existing floor covering is removed, subfloor preparation is not included in preliminary estimates. You will be notified of required subfloor work and costs before we proceed. Moisture readings are taken prior to all hardwood, engineered wood, laminate, and LVP installations. If moisture levels exceed manufacturer specifications, work will pause until the issue is corrected at Client expense.

Hidden Conditions

Conditions hidden beneath existing floor coverings — including damaged subfloors, concealed wiring, plumbing, pest damage, water damage, or mold — cannot be assessed in advance. If such conditions are found, you will be notified immediately with a cost estimate for any required additional work. Mississippi Pro is not responsible for delays caused by unforeseen hidden conditions.

Asbestos & Lead Paint

Mississippi Pro is not licensed to remove materials containing or suspected of containing asbestos or lead paint. All tile and sheet vinyl installed prior to 1980 must be tested by a certified independent lab before removal, per state and federal law. If materials test positive, licensed abatement contractors must complete removal before our crew can proceed.

Client Responsibilities
Adult Presence

An adult 18 or older must be present at the start of the installation. If you cannot remain on-site, you must provide a phone number where you can be reached for decisions during the work day. If our crew cannot reach you and a judgment call must be made to keep work moving, our lead installer will proceed professionally. Mississippi Pro is not liable for appearance or cost outcomes resulting from decisions made when the Client is unreachable.

Room Preparation — Required Before Our Crew Arrives
  • Remove all small, fragile, irreplaceable, and sentimental items from the work area. Our crew cannot be responsible for these items.
  • Strip all beds. Empty bookcases, china cabinets, hutches, desks, and closets in rooms being worked on.
  • Remove all wall hangings and framed artwork from work rooms and adjacent rooms below, as installation vibration can cause items to fall.
  • Keep children and pets in a separate, secured area of the home for the full duration of the installation.
Specialty Items

Grandfather clocks, pool tables, pianos and organs, large aquariums, waterbeds, gun safes, and bolted wall units must be moved before our crew arrives. Mississippi Pro will not move these items under any circumstances.

Electronics & Appliances

Our installation crew does not disconnect, reconnect, or service any electronic equipment, hardwired appliances, gas appliances, or plumbing fixtures. You are responsible for disconnecting these items before installation and reconnecting them after, or for hiring licensed professionals to do so.

Climate Control

The installation environment must be maintained at 60–80°F and 30–50% relative humidity for at least 48 hours before installation, during installation, and for the life of the floor. Vacant properties must begin conditioning at least two days before the scheduled date. Failure to maintain these conditions may void manufacturer warranties.

Electrical Power

Standard electrical power must be available and accessible at the job site throughout the entire installation.

Furniture Moving

Mississippi Pro will move standard-sized furniture as itemized in your Sales Order at the per-item rates shown. Items moved at Client request are moved at the Client's own risk. We exercise reasonable care; however, Mississippi Pro is not liable for damage to items we are asked to move unless caused by gross negligence.

Items we will not move under any circumstances: grandfather clocks, pool tables, pianos and organs, large aquariums, waterbeds, gun safes, items fixed to walls, floors, or ceilings, and any item our lead installer determines is unsafe or requires specialized equipment. King beds count as three items; queen and full beds count as two. Stacking items to reduce the count is not permitted.

Scheduling & Installation Times

Mississippi Pro will contact you the day before your installation to confirm your appointment. Arrival and completion times are estimates only. Our crews service multiple jobs each day, and traffic, job complexity, and prior-job conditions can affect schedules. We will notify you of any significant delays.

If our crew arrives and the installation area is not cleared and ready per Section 9, additional crew time will be billed at our standard hourly rate. Mississippi Pro reserves the right to reschedule and charge a trip fee if site access is unavailable upon arrival.

Product-Specific Installation Terms
Carpet

Professionally constructed seams are not invisible seams. Seam visibility depends on room dimensions, lighting, pile height, carpet construction, and color. Seams will be placed in the least visible locations given the room layout, but Mississippi Pro cannot guarantee that seams will be undetectable. Properly constructed visible seams are not defects. Patterned carpet run-off caused by room geometry is normal and is not a defect. Carpet characteristics that are not defects include: shading, pooling, tracking, shedding, fluffing, pile reversal, pile crushing, and missing tufts in looped carpet (which can be repaired).

Hardwood & Engineered Wood

Hardwood products are natural materials and will exhibit color and grain variation between boards. Temperature and humidity must be maintained within manufacturer specifications for the life of the floor. Gapping between boards is a normal seasonal characteristic, not covered by our installation warranty unless it exceeds published tolerance specifications. Mississippi Pro is not responsible for damage caused by moisture intrusion or plumbing failures after installation is complete.

Tile, Porcelain & Natural Stone

All tile and stone products exhibit variation in color, shade, texture, and surface finish. These are characteristics of the material, not defects. Grout and tile cracking caused by subfloor deflection, foundation settling, or inadequate subfloor support is not covered by our installation warranty. Allow a minimum of 24 hours before walking on tile or stone after installation for thinset to cure.

Granite, Quartz & Countertops

Natural stone countertops contain naturally occurring color variation, veining, mineral inclusions, pitting, and fissures that are characteristics of the stone, not defects. Templating dimensions are final upon Client approval; changes after approval may incur additional charges. Seam placement is determined by our fabrication team based on slab size and structural requirements. Mississippi Pro is not responsible for countertops damaged after installation by improper cleaning agents, impacts, or thermal shock.

LVP & Laminate

LVP and laminate products are susceptible to moisture damage. Standing water, pet accidents, plumbing leaks, or high humidity exceeding manufacturer specifications will void the warranty. Mississippi Pro is not responsible for moisture damage occurring after installation.

Wood Floor Sanding & Refinishing

Clients should expect the following conditions during sanding and refinishing projects:

  • There will be noise, dust, and finish vapors throughout the process. Despite dust-control measures, fine dust may reach adjacent areas.
  • Clear all closets, pantries, and adjacent rooms of clothing and food items before sanding begins.
  • Remove all window treatments from work areas before sanding starts.
  • Children and pets must be kept away from work areas at all times.
  • An authorized adult must be present to approve stain color before staining begins. No staining proceeds without Client approval.
  • Do not walk on finished floors for a minimum of 24 hours. Your lead installer will confirm the specific drying time.
  • Floors are not fully cured for at least 7 days after completion. During this period: use only a dry mop, do not place area rugs or rubber-footed furniture on the floor, and do not use any cleaning product or water on the surface.
  • Area rugs should not be placed on refinished wood floors for a minimum of 14 days.
  • Touch-up painting of baseboards and adjacent walls is the Client's responsibility unless painting is included in your Sales Order.

Removal of Existing Floors

Pull-up and disposal of existing floor coverings is not included in your installation quote unless explicitly itemized in your Sales Order. When included, the following conditions apply:

  • Glued carpet: Additional charges may apply if adhesive is unusually aggressive or if subfloor damage is discovered. You will be notified before work continues.
  • Hardwood, tile, or vinyl: Additional charges may apply for multiple glue-down layers, damaged subfloor sections, or lead-containing adhesives.
  • Asbestos and lead paint: Mississippi Pro will not remove materials that test positive. See Section 8.
  • Biohazard refusal: Our crew reserves the right to decline removal of flooring saturated with urine, sewage, mold, or other biohazardous substances.

There are no refunds on materials already ordered for a job if pull-up reveals conditions that prevent installation from proceeding.

Doors, Moldings, Trim & Touch-Up Painting
Door Cutting

New flooring may require doors to be undercut or trimmed to clear the new floor surface. Door cutting is not included in base installation quotes and will be charged additionally. Ask your consultant to include this in your estimate if needed.

Shoe Molding & Quarter Round

Shoe molding covers the expansion gap at the base of walls. Removal of existing molding may cause minor paint chipping of baseboards; touch-up painting is the Client's responsibility unless included in your Sales Order. New shoe molding will be finished as specified in your estimate (painted, primed, or stained and urethane-coated). Prefinished shoe molding is available at additional cost with advance notice.

Touch-Up Painting

Minor scuffing or marking of baseboards is a normal byproduct of installation work. Touch-up painting is always required after installation and is the Client's responsibility unless painting services are included in your Sales Order. Mississippi Pro offers painting services for all affected surfaces — speak with your consultant.

Roofing, Siding & Exterior Services

The following terms apply to all services provided by Mississippi Pro Roofing:

  • GAF-certified roofing systems carry a 50-Year System Plus Limited Warranty on labor and materials for shingles, subject to GAF's full warranty terms.
  • Non-roofing items (siding, gutters, awnings, and other exterior products) carry a 5-year labor warranty plus applicable manufacturer product warranties.
  • Weather delays: Roofing work may be delayed by unsafe weather conditions. We will reschedule at the earliest opportunity and are not responsible for delays caused by weather beyond our control.
  • Property access: Vehicles must be moved from the driveway before crew arrival. Mississippi Pro is not responsible for incidental damage to landscaping or driveways caused by normal roofing work.
  • Hidden decking damage: Damaged, deteriorated, or structurally insufficient roof decking cannot be assessed until existing shingles are removed. If found, additional charges apply with Client notification before replacement proceeds.
  • Military Discount: A 5% discount applies to all active duty military, veterans, and their immediate families on all Mississippi Pro Roofing services.

Construction, Remodeling & Addition Projects

The following terms apply to all services provided by Mississippi Pro Construction (License #18725-MC):

  • All construction projects are governed by a separate Statement of Work (SOW) or Construction Agreement that incorporates these Terms by reference. In case of conflict, the SOW controls.
  • All work requiring building permits will be obtained by Mississippi Pro at Client expense unless otherwise agreed in writing.
  • Change orders: Scope changes must be documented and approved — verbally or in writing — before proceeding. Verbal approvals are binding. Changes may affect both cost and timeline.
  • Timeline estimates: Completion timelines are estimates. Delays caused by weather, material availability, permitting, or Client-requested changes may affect the schedule. Mississippi Pro is not liable for damages caused by delays outside our reasonable control.
  • Subcontractors: Mississippi Pro may use licensed and insured subcontractors for specialty work while retaining full responsibility for overall quality and delivery.

Mechanic's Lien

Mississippi law grants contractors and materialmen the right to file a mechanic's lien against a property when they are not paid for work performed or materials delivered. By entering an agreement with Mississippi Pro, you acknowledge that non-payment may result in a mechanic's lien filing against your property.

Upon your final payment, you may request a Lien Release document from Mississippi Pro confirming that we have been paid in full for the described work and waiving our right to file a lien against your property.

Limitation of Liability

Mississippi Pro's liability for any claim arising under or related to this agreement — whether in contract, negligence, or otherwise — shall not exceed the total amount paid by the Client to Mississippi Pro under the applicable Sales Order.

MISSISSIPPI PRO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO: LOST WAGES OR REVENUE; COSTS OF ALTERNATE HOUSING OR ACCOMMODATIONS; COSTS OF OTHER CONTRACTORS; EMOTIONAL DISTRESS; OR ANY OTHER ECONOMIC LOSS NOT DIRECTLY CAUSED BY OUR NEGLIGENCE. THIS LIMITATION SURVIVES TERMINATION OF ANY AGREEMENT AND SHALL NOT APPLY TO CLAIMS FOR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE.

Mississippi Pro is not liable for delays or service interruptions caused by fire, flood, natural disaster, acts of war or terrorism, governmental orders, supply chain disruptions, or any cause beyond our reasonable control. We will resume performance as soon as practicable.

Concealed Utilities & Systems

Mississippi Pro is not responsible for damage to concealed telephone lines, data cables, security wiring, low-voltage circuits, sprinkler systems, or other utilities that are not visible or disclosed before work begins. Before your installation, please notify your consultant of any known hidden lines or systems in or below the floor. If you are uncertain, contact your phone, data, cable, security, and irrigation providers to mark or disconnect lines in advance.

Governing Law, Venue & Disputes

These Terms and all transactions between Mississippi Pro Design Center LLC and the Client are governed by the laws of the State of Mississippi, including the Mississippi Uniform Commercial Code. In the event of a conflict between any term herein and the UCC, the term herein controls.

Any dispute that cannot be resolved informally shall be brought in a court of competent jurisdiction in Rankin County, Mississippi, which both parties agree is the exclusive and proper venue. Claims (other than collection of overdue balances) must be filed within one year of project completion. The prevailing party in any legal action shall be entitled to recover reasonable attorney's fees, court costs, and filing fees from the non-prevailing party.

Entire Agreement, Modification & Severability

These Terms and your signed Sales Order or Statement of Work constitute the complete agreement between the parties and supersede all prior representations, warranties, and understandings, written or verbal. No statement by any Mississippi Pro employee outside of these Terms and the signed Sales Order is a binding warranty or representation.

Modifications require a written document signed by an authorized Mississippi Pro manager and by the Client. No email, text, or verbal agreement modifies these Terms unless confirmed in a signed written amendment. Client rights under these Terms are personal and may not be assigned to a third party, including future property owners.

If any provision herein is found invalid or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining Terms shall continue in full force and effect.

Maintenance & Care

Proper maintenance is essential to protect your investment and maintain warranty coverage. Mississippi Pro will provide product-specific care instructions at installation. You agree to follow these instructions, including recommended cleaning products, cleaning methods, and humidity management requirements. Failure to properly maintain your flooring per manufacturer guidelines may void the applicable warranty.

Do not place plastic sheeting or rubber-backed rugs over new flooring as protection — these trap moisture and can cause permanent damage. Window coverings that reduce UV exposure are recommended for all flooring types and may be required to maintain certain manufacturer warranties.
